Public Offer agreement
This agreement is an official and public offer by the Seller to conclude a purchase and sale contract for the goods presented on the website https://cicon.ua.
This agreement is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are identical for all buyers, regardless of their status (individual, legal entity, or sole proprietor) without giving preference to one buyer over another.
By entering into this Agreement, the buyer fully accepts the terms and conditions for placing an order, payment, delivery, return, responsibility for dishonest orders, and all other conditions outlined herein.
The Agreement is considered concluded once the Buyer clicks the "Confirm Order" button on the checkout page in the "Cart" section and receives an order confirmation from the Seller via email.
1. Definitions
1.1. Public Offer ("Offer") — a public proposal from the Seller addressed to an indefinite number of persons to conclude a remote sales agreement ("Agreement") under the terms stated in this Offer.
1.2. Goods or Services — the object of the transaction chosen by the Buyer on the website and added to the cart, or already purchased remotely from the Seller.
1.3. Online Store — the Seller’s website at www.cicon.ua, created for retail and wholesale purchase agreements based on the Buyer's review of the Seller’s product descriptions via the Internet.
1.4. Buyer — a legally capable individual over 18 years of age receiving information from the Seller, placing an order for goods offered on the website for personal use (not related to business activities), or a legal entity or sole proprietor.
1.5. Seller — Individual Entrepreneur Yuliia Yuriyivna Shabanova (ID Code 3410106820), established and operating under the laws of Ukraine, located at: 16V V. Chornovola Avenue, Lviv.
2. Subject of the Agreement
2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer agrees to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of acceptance of the Offer and the moment of full and unconditional acceptance of the terms by the Buyer is the date when the Buyer completes the order form on the website and receives an electronic confirmation of the order from the Seller. If needed, at the Buyer's request, the Agreement may be formalized in writing.
3. Order Placement
3.1. The Buyer independently places an order through the “Cart” form on the website, by email, or by phone, as listed in the "Contacts" section.
3.2. The Seller may refuse to deliver the order if the information provided by the Buyer is incomplete or raises doubts about its validity.
3.3. When placing an order, the Buyer must provide the following mandatory information:
3.3.1. Buyer's surname and first name;
3.3.2. Address for delivery (if delivery to the Buyer's address);
3.3.3. Contact phone number;
3.3.4. Identification code (for legal entities or sole proprietors).
3.4. The name, quantity, SKU, and price of the selected Goods are specified in the Buyer's Cart.
3.5. Either Party may request additional information if necessary. The Seller is not responsible for quality services if the Buyer fails to provide the required information.
3.6. When ordering via the Seller's operator (section 3.1.), the Buyer must provide the information listed in 3.3–3.4.
3.7. Acceptance of the Offer by the Buyer occurs through providing the necessary information in the registration form or when placing an order with an operator. After that, the Buyer’s information is entered into the Seller’s database.
3.8. The Buyer is responsible for the accuracy of the information provided.
3.9. By concluding this Agreement, the Buyer confirms that:
(a) they are fully acquainted with and agree to the terms of this Offer;
(b) they consent to the collection, processing, and transfer of their personal data, valid throughout the Agreement and beyond, for the purposes stated under the Law of Ukraine “On the Protection of Personal Data.” The Buyer also agrees that their data may be shared with third parties without additional notice solely for fulfilling the order.
4. Price and Delivery of Goods
4.1. Prices for goods and services are determined by the Seller and listed on the website in UAH.
4.2. The Seller may adjust prices depending on market conditions. However, the price of a fully paid item cannot be changed.
4.3. The price listed on the website does not include delivery costs. Delivery is paid separately according to the rates of the chosen delivery service.
4.4. Delivery costs are not included in the price of the Goods.
4.5. The Seller may provide an approximate delivery cost upon the Buyer's request.
4.6. The Buyer's payment obligation is considered fulfilled once the funds are credited to the Seller's account.
4.7. Payment is made according to the methods described in the "Payment and Delivery" section of the website.
4.8. Upon receipt of the Goods, the Buyer must check the Goods for compliance with the order in the presence of the courier (quantity, completeness, appearance).
4.9. By signing the invoice, receipt, or waybill, the Buyer confirms that there are no claims regarding quantity, appearance, or completeness.
4.10. Ownership and risk of accidental loss or damage pass to the Buyer upon receipt of the Goods from the Seller, either through self-pickup or upon transfer to the delivery service chosen by the Buyer.
5. Rights and Obligations of the Parties
5.1. The Seller is obligated to:
5.1.1. Transfer the goods to the Buyer in accordance with the terms of this Agreement and the Buyer’s order.
5.1.2. Not disclose any private information about the Buyer and not grant third parties access to this information, except in cases provided by law and during the execution of the Buyer’s Order.
5.2. The Seller has the right to:
5.2.1. Change the terms of this Agreement, as well as the prices for Goods and services, unilaterally by posting them on the Online Store's website. All changes take effect from the moment they are published.
5.3. The Buyer is obligated to:
5.3.1. Familiarize themselves with the content of the Agreement, the terms of the Agreement, and the prices offered by the Seller on the Online Store’s website before concluding the Agreement.
5.3.2. To enable the Seller to fulfill their obligations to the Buyer, the Buyer must provide all necessary data that clearly identifies them as the Buyer and is sufficient for the delivery of the ordered goods to the Buyer.
6. Return of Goods
6.1. The Buyer has the right to return non-food goods of adequate quality to the Seller if the goods do not satisfy them in terms of design, color, size, or for other reasons cannot be used for their intended purpose. The Buyer has the right to return goods of adequate quality within 14 (fourteen) days, excluding the day of purchase. The return of goods of adequate quality is accepted if the goods have not been used, and if their appearance, consumer properties, packaging, labels, as well as the receipt issued to the Buyer for the payment of the Goods, are preserved. A list of goods that are not subject to return on the grounds provided in this paragraph is approved by the Cabinet of Ministers of Ukraine.
6.2. The value of the goods is refunded to the Buyer within 30 (thirty) calendar days from the moment the Seller receives such goods, provided the requirements of paragraph 6.1 are met and in accordance with the laws of Ukraine.
6.3. The cost of the goods is refunded via a bank transfer to the Buyer’s account.
6.4. The return of goods of adequate quality to the Seller’s address is at the Buyer’s expense, and the Seller does not refund the Buyer.
6.5. If defects in the goods are found during the warranty period, the Buyer has the right to submit claims to the Seller, in accordance with the Law of Ukraine "On Protection of Consumer Rights." When submitting claims for free elimination of defects, the time for their elimination is counted from the date the Seller receives the goods in their possession and has physical access to the goods.
6.6. The Seller will review the claims provided in the Law of Ukraine "On Protection of Consumer Rights," provided that the Buyer submits the documents required by the current legislation of Ukraine. The Seller is not responsible for defects in the goods that arose after the transfer of the goods to the Buyer due to the Buyer’s violation of the rules of use or storage of the goods, actions of third parties, or force majeure.
6.7. The Buyer has no right to refuse goods of adequate quality that have individually defined properties if the goods can only be used by the Buyer who purchased them (including custom sizes, characteristics, appearance, configuration, etc.). Confirmation that the goods have individually defined properties is the difference in size and other characteristics specified on the online store’s website.
6.8. The return of goods, in cases provided by law and this Agreement, is carried out to the address indicated on the website in the "Contacts" section.
7. Liability
7.1. The Seller is not responsible for any damage caused to the Buyer or third parties due to improper use or storage of the goods purchased from the Seller.
7.2. The Seller is not responsible for improper or untimely execution of Orders and obligations if the Buyer provides inaccurate or erroneous information.
7.3. The Seller and the Buyer are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.
7.4. The Seller or the Buyer is exempt from liability for complete or partial non-performance of their obligations if the non-performance is due to force majeure, such as war or military actions, earthquakes, floods, fires, and other natural disasters that occurred independently of the will of the Seller and/or the Buyer after the conclusion of this agreement. The party that cannot fulfill its obligations must immediately notify the other party.
8. Confidentiality and Protection of Personal Data
8.1. By providing their personal data on the Online Store’s website during registration or when placing an Order, the Buyer gives the Seller their voluntary consent for the processing, use (including transfer), and other actions with their personal data, as provided by the Law of Ukraine "On the Protection of Personal Data," without limitation to the term of this consent.
8.2. The Seller is obligated not to disclose the information received from the Buyer. It is not considered a violation if the Seller provides information to contractors and third parties acting based on a contract with the Seller, including to fulfill obligations to the Buyer, or in cases where disclosure is required by the current legislation of Ukraine.
8.3. The Buyer is responsible for maintaining the accuracy of their personal data. The Seller is not responsible for the poor execution or non-fulfillment of their obligations due to outdated or inaccurate information about the Buyer.
9. Other Terms
9.1. This Agreement is concluded on the territory of Ukraine and is governed by the current legislation of Ukraine.
9.3. The Seller has the right to unilaterally amend this Agreement as provided in paragraph 5.2.1. of the Agreement. Additionally, amendments to the Agreement may be made with the mutual consent of the Parties, as provided by the current legislation of Ukraine.
9.2. All disputes arising between the Buyer and the Seller are to be resolved through negotiations. In the event that a resolution is not reached through negotiations, the Buyer and/or Seller have the right to refer the dispute to judicial authorities in accordance with the current legislation of Ukraine.
